Identification

The following conditions are concluded between, on the one hand :

And on the other hand, any purchaser of products distributed by it through its catalogs or website.

The following General Conditions of Sale govern all the product sales generated by JEULIN by means of its catalogs or its website www.jeulin.com and its brands jeulin.fr, lelaborantin.com, polytech-oscilloscopes.com, ovio-optics.com.

Consequently, the act of placing an order for these products implies that the purchaser accepts these general conditions of sale to the exclusion of any other. Any condition of a contrary nature put forth by the buyer, expect express acceptance, will be thus unopposable to JEULIN. Not exercising any clauses of the following General Conditions of Sale at a given time cannot be understood as a release to be prevailed lately.

If a condition is found to be lacking, it would be governed by the procedures in force in the area of distance selling companies which have headquarters in France.

Furthermore, JEULIN reserves the right to refuse any order from a client with whom there would be a litigation relating to the payment of a former order.

Rate

1. Prices :
   All prices are quoted in euros and may vary during the catalog validity period depending on the changes in the price of raw materials, it being understood that the products ordered are charged at the price prevailing on the date of registration of the order. Furthermore, the prices shown per article are provided in euros net of VAT and in euros including VAT.
   
   
2. Delivery Charges :
   Excluding orders placed over the Internet for an amount greater than 130 € including VAT, a participation to order packing and shipping fees is required. The participation is invoiced at the price prevailing on the date of the registration of the order.
   For the purchase of equipment with a final destination outside metropolitan France, a participation of up to 15% to the value of the order excluding taxes is required for the administrative costs of processing and placing FOB delivery. Packaging, installation and tropicalization costs are also charged extra.
   
   
3. Minimum Export Order :
   Orders to countries other than metropolitan France must meet a minimum amount of XXX € net of VAT. Orders with a lower amount are stored until future orders are made to reach this minimum amount.
   
   
4. Retention of Title :
   JEULIN reserves the ownership of the goods delivered until complete payment of all the sums owed by the buyer. The buyer’s simple signature of the purchase order or the delivery receipt of the goods implies full acceptance of the present title retention clause.
   
   
5. Specific Products :
   The export of chemicals and substances belonging to the table of hazardous substances is subject to a specific acquisition, possession, packaging and transport regulation. The order of these products processing is systematically subject to a pro forma invoice that includes in particular the shipping costs. Concerning the living or stored biological materials, only the orders destined for metropolitan France are accepted. Furthermore, these products may be subject to special sale conditions and have a particular rate regarding the shipping charges specified when ordering.

Online Order

For orders via Internet, an order validation in the form of a detailed receipt is sent to the email address indicated by the purchaser. This receipt constitutes proof of the order and its date.

Delivery

JEULIN agrees to fulfill orders received within the limit of available product stock, and without the risk of failure by one of its suppliers. In case of unavailability of the product after the order was made by the buyer, JEULIN undertakes to inform the latter within undue delay and to specify the approximate delay for reception of this product. If requested by the customer, his order may be cancelled.

1. Shipping :
   The delivery of the equipment is entrusted to freight forwarders or carriers chosen by JEULIN and that are specialists in lot, courier and single packages. On request of a particular shipment, the costs incurred will be charged.
   
   
2. Delivery outside Metropolitan France :
   For deliveries outside metropolitan France and in compliance with customs legislations, JEULIN reserves the right to change, without notice, the quantities or packaging of certain products. In no event will it be held responsible for the consequences of the product quota implemented in certain countries.
   
   
3. Delivery Time :
   The delivery times indicated correspond to the processing times, from the order until the delivery. In case of items shipped on different dates due to their availability, delivery time is based on the longest time. JEULIN reserves itself however the right to split shipments. In this case, the participation to the shipping costs will only be charged once.

Receipt

The recipient is asked to check the inside and outside of the package upon receipt, in the presence of the carrier. For living or stored biological materials, the content of the package should be checked immediately in the presence of the carrier. In any event, the content of any package must be checked within 72 hours.
Any abnormality noted at the time of delivery (damaged or missing package, breakage, defect etc.), should result in a handwritten note on the delivery receipt, of specific and signed reservations, confirmed by registered letter sent to the carrier no later than 72 hours after the delivery. A copy of this letter must also be sent to JEULIN in the same timeframe. For deliveries outside metropolitan France, shipments are insured against all risks, except opposite clauses. It is the responsibility of the recipient to make the usual reservations under 48 hours with the carrier. Under the Terms and Conditions of the transport insurance policies, the material remain insured for a maximum period of 15 days after a notice of arrival sent to the recipient by the carrier. The buyer is responsible for the procedures of customs clearance during this period. Beyond that, the materials are no longer insured and no reimbursement may be made, especially in case of breakage, missing or damage.
In case of MISSING or DAMAGE, the verbal reservations that have even been confirmed by letter, as well as the statement "subject to unpacking" have no legal basis.

It is CRUCIAL to successively perform the two following operations :
1) Write the PRECISE RESERVATIONS on the discharge document in the presence of the deliverer.
2) Confirm these reservations within 72h by registered letter to the CARRIER and inform JEULIN about it.

Regulation

Secure payment : Conscious of the fact that safety is a key issue in any purchase act, Jeulin provides several secure means of payment to simplify, secure and always ensure enhanced security in your purchases on our website. For this, we decided to put the following means of payment at your disposal.

Warranty

All products delivered are, from the date of dispatch, contractually guaranteed against any manufacturing defect under conditions of normal use (targeted in the box below and which texts are mentioned in Annex 1 in present conditions).
We will refund or exchange the products that are apparently defective or do not correspond to your order. (According to the terms specified below)

The provisions of this Article do not prevent you from benefiting from the right of withdrawal mentioned in section "Satisfied or Refunded and Right of Withdrawal"

SJEULIN is only responsible for the exchange of defective parts, the restoration and the reshipment costs to the establishment. The contractual warranty is of two years, unless otherwise noted (namely electronic devices, microcomputers, CDs which warranty may be of a shorter period).

This warranty does not cover :

• living or stored biological materials,
• replacement of consumables (batteries, bulbs, fuses, etc.),
• replacement of glass pieces (lamps, tubes, etc.),
• replacement of normally worn parts,
• abnormal or non-compliant use of the products,
• failures on a modified product
• damages and their consequences related to any external cause.

In any case, the present guarantee does not exclude the legal warranty of conformity stated in Articles L. 211-1 and following of the Consumer Code, and the warranty against hidden defects of Articles 1641 and following of the Civil Code.

Responsibility

The products, materials, appliances and equipment sold at JEULIN are in compliance with the French legislation in force on their date of shipment. They should be used in accordance with the manuals and operating instructions provided, where necessary.
JEULIN shall not be held responsible in case of modification made without its prior consent, on one of the products, materials, appliances or equipment sold, or in case of use in other than the normal manner or not in accordance with the manuals and the operating instructions provided.
JEULIN shall not be held responsible for the direct and indirect consequences of a delivery delay, operating losses, loss of profit or loss of opportunity.
JEULIN shall not be held responsible in case of total or partial inability to use the products because of incompatibility of materials.

Extended Producer Responsibility (EPR)

Pursuant to article L.541-10-13 of the Environment Code, ADEME (Agency for Ecological Transition) has assigned to JEULIN SAS, the unique identifier FR013509_05KWSE for the EEE (Electrical and Electronic Equipment) sector, the unique identifier FR013509_10O1lA for the FE (Furniture Elements) sector, and the unique identifier FR013509_068B5A for the BA (Batteries and Accumulators) sector.
These identifiers certify the compliance of the company with regard to its obligation to register in the "producers register", and the realization of its declarations of “placing on the market”, with the following eco-organizations: Ecosystem (EEE), Valdelia (FE) and Screlec (BA)

Intellectual Property

All elements, brands, drawings, models, logos, graphics, or others, appearing on the products mentioned in the sales support of JEULIN are the exclusive property of the latter or its suppliers and are in no case liable to appropriation.
The content of some products may be subject to copyright.
Any use of these products or their contents in violation of intellectual property right is subject to penalties under pain of infringement.

Satisfied or Refunded and Right of Withdrawal

If one of the products ordered are found to be non-compliant with the buyer’s expectations, the latter may, within 14 days from receiving this product, return it to JEULIN, the buyer shall still be liable for the costs of return. This product will then be, at the buyer’s option, exchanged or refunded the full amount paid in question including the delivery fees, within 14 days of the product’s return. The present right of return is only applicable for complete products, in their original state (packaging, accessory, manual, etc.), with the original delivery note, duly completed on the back.

To exercise your right of withdrawal, in compliance with the legal provisions in force, you can visit your dedicated space: "Claim application" and mention the retraction reason type (see drop-down list), or resend the duly completed form (see annex 2). You may exercise your right of withdrawal by any means at Jeulin, and notably by regular courier or mail expressing your willingness to withdraw unequivocally, and mentioning the order involved in this withdrawal. For regular couriers, kindly direct correspondence to :

Once the form or the withdrawal statement sent to Jeulin at the latest within 14 days from receiving your order, you must return the product(s) in question to Jeulin, within a reasonable timeframe and, at the latest 14 days after the mailing of the form or the withdrawal statement to Jeulin. You may also cancel a validated order that has not been prepared yet. • Products excluded from the right of withdrawal :
  This right of withdrawal is not valid for living or stored biological materials, immediately reproducible products, unsealed or unwrapped (software, CDs, DVD, videos, etc.), as well as products manufactured according to the buyer's specifications or clearly personalized (especially like custom-made furniture).

In case of exchange, JEULIN is responsible for the shipping fees of the new product.
Concerning the products delivered outside metropolitan France, the buyer should contact the JEULIN export service before any action, in order to help it best exercise its right of return facing the complex customs formalities.

1) Products, appliances or furniture manufactured by JEULIN :
JEULIN undertakes to carry out the repairs and/or provide the spare parts (after possible estimate) for a period of three years beyond the termination of the products’ marketing by JEULIN. Upon expiry of this period, repairs will not be carried out and spare parts will only be supplied if available.

2) Products, appliances or furniture not manufactured by JEULIN :
JEULIN can only ensure repairs and/or supply of spare parts if enabled by its suppliers.

Applicable Law and Jurisdiction Clause

The present conditions are subject to French law. Any disputes between JEULIN and the buyer shall come under the exclusive jurisdiction of the Commercial Court, of which they expressly acknowledge the jurisdiction, and notwithstanding any opposite clause, plurality of defenders and/or appeal in guaranty, even for urgent procedures and protective summary procedures or by petition. The legal address or the payment location appearing on commercial bills neither carry a novation nor a derogation from the present jurisdiction clause.

Personal Information

JEULIN shall not disclose to any third parties personal data communicated to it. They are confidential and are only used by the Internal Services in JEULIN for the order processing, and to reinforce and personalize communication and JEULIN’s offer of products and services. According to the Law of Data Protection, every person has the right to access, rectify and object the personal data related to him/her.

General Conditions of Sale Modification

JEULIN reserves the right to adapt or to modify the present general conditions of sale. The new General Conditions of Sale will only be applicable, where appropriate, to sales made after the said changes.

Annex 1

Article L. 217-4 Consumer Code
The buyer shall deliver goods in compliance with the contract and shall be liable for any defects in conformity existing at the time of issue.
He is also held liable for any lack of conformity caused by the packaging or the assembly instructions, or the installation if he assumed responsibility therefore or had it carried out under his responsibility.

Article L. 217-5 Consumer Code
The good is in compliance with the contract :

1. if it is appropriate for the use normally expected for such an item and, where appropriate :
   if it corresponds to the description given by the buyer and has the qualities presented by the latter to the buyer as a sample or a model ;
   if it has the qualities that a buyer might legitimately expect in view of public statements made by the seller, the producer or by his/her representative, particularly in advertising or on labelling;
2. Or if it has the features defined by mutual agreement between the parties or be suitable for any particular purpose for which the buyer made known to the seller and the latter accepted.

Article L217-12 Consumer Code
Any legal action prompted by lack of conformity is governed by a term of prescription of two years as of delivery of the goods.

Article L. 217-16 Consumer Code
When the buyer requests from the seller, during the course of the commercial guarantee granted to him when acquiring or repairing a movable property, a refurbishment covered by the guarantee, any downtime of at least seven days will be added to the warranty’s still remaining term. This period shall start from the appeal for intervention by the buyer or from the availability of the item in question for repair, if this availability is made after the appeal for intervention.

Article 1641 Code civil
The buyer is bound to a warranty on account of the latent defects of the item sold which render it for which it was intended, or which so impair that use that the buyer would not have acquired it, or would only have given a lesser price for it, had he known of them.

Article 1648 alinéa 1er Code civil
The action resulting from redhibitory defaults must be brought by the buyer within a period of two years following the discovery of the default.

Annex 2 - Withdrawal Form

Kindly complete and send the present form only if you wish to withdraw from your order made on our website (products sold and shipped by Jeulin) – except for exclusions or limitations to the exercise of the right of withdrawal following the applicable General Conditions of Sale.
